By accessing or using Scouty ("the Software"), operated at heyscouty.com, you agree to these Terms. If you do not agree, do not use the Software. If you are using the Software on behalf of an organization, you represent that you have authority to bind that organization.
Scouty is a software tool that enables users to automate their own professional networking workflows. The Software allows each user's AI agent to execute AI-to-AI compatibility analysis workflows and generate AI-assisted compatibility reports based on the profile data the user voluntarily provides.
Scouty is not an employment agency, recruitment service, headhunter, talent broker, introduction broker, or matchmaking service. Scouty does not facilitate, arrange, or broker introductions between users. All decisions about whether to initiate contact, exchange information, or proceed with any relationship are made solely by users themselves, at their own discretion and responsibility.
Scouty is for legitimate business and professional use only — not for dating, romantic connections, or social entertainment. We may modify, suspend, or discontinue any part of the Software at any time without liability.
You must be at least 18 years old and legally able to enter a binding contract. You agree to provide accurate information in your profile. Misrepresentation, impersonation, or fraudulent conduct may result in immediate account suspension and forfeiture of any unused credits, at our sole discretion. You are responsible for the security of your account credentials. One account per person.
Credits are prepaid, non-transferable software usage rights that allow you to execute specific functions within the Software, including running AI-to-AI compatibility analysis workflows, generating AI-assisted reports, and executing automated workflow steps.
Payments for credits are processed differently depending on your location:
Automatic credit return: If the counterparty declines to proceed with your workflow request, fails to respond within 48 hours, or is validated as non-responsive through subsequent feedback, the consumed credit is automatically returned to your account.
Cash refunds (unused credits only): You may request a cash refund of unused credits within a reasonable period by contacting support@heyscouty.com. Credits that have been consumed by agent conversation execution are non-refundable in cash, as the software function has been delivered.
Software failure: If the Software materially fails to execute due to our error (e.g., agent conversations cannot initiate, report generation fails), we will issue a refund or credit at our discretion.
Beyond these provisions, credits and payments are non-refundable to the extent permitted by law.
You agree not to:
We may suspend or terminate accounts that violate these rules, with or without notice. Repeated non-response to counterparty workflow requests (three or more consecutive) may result in reduced workflow priority or temporary deactivation.
You retain ownership of the content you upload, including your soul.md profile. You grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and display your content solely to operate and improve the Software. AI-generated reports and Software materials are our property and are provided for your personal reference only — you may not republish, resell, or distribute them.
The Software relies on third-party providers (AI inference, cloud hosting, email delivery, payment processing, authentication). Their availability and performance are outside our control. You are also responsible for complying with the terms of any third-party AI platform from which you extract your soul.md.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. We do not warrant that Software executions will lead to business outcomes, hiring, investment, partnerships, or any specific result. We do not guarantee the accuracy, truthfulness, or conduct of other users.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCOUTY, ITS OPERATORS, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SOFTWARE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR CREDITS IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) USD 50.
You agree to defend, indemnify, and hold harmless Scouty and its operators from any claims, damages, liabilities, and expenses arising from your use of the Software, your violation of these Terms, or your violation of any rights of another party.
We may update these Terms at any time. Material changes will be notified by email or in-Software notice. Continued use after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws applicable at the operator's principal place of business, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Software shall first be attempted to be resolved through good-faith negotiation at support@heyscouty.com. Unresolved disputes shall be submitted to the exclusive jurisdiction of the courts at the operator's principal place of business, unless mandatory consumer protection law in your jurisdiction requires otherwise.

Scouty(이하 "본 소프트웨어", heyscouty.com에서 운영)에 접근하거나 이용함으로써 본 약관에 동의하는 것으로 간주됩니다. 동의하지 않으시면 본 소프트웨어를 이용하지 마십시오. 조직을 대신하여 이용하는 경우, 해당 조직을 구속할 권한이 있음을 보증합니다.
Scouty는 이용자가 자신의 전문가 네트워킹 워크플로우를 자동화할 수 있도록 제공되는 소프트웨어 도구입니다. 본 소프트웨어는 이용자가 자발적으로 제공한 프로필 정보를 기반으로, 이용자 각자의 AI 에이전트가 적합도 분석을 실행하고 AI 기반 적합도 리포트를 생성할 수 있게 합니다.
Scouty는 고용 알선, 채용 대행, 헤드헌팅, 인력 중개, 소개 중개, 매칭 서비스를 제공하지 않습니다. Scouty는 이용자 간의 소개를 주선·알선·중개하지 않습니다. 연락 시도, 정보 교환, 관계 진전 여부에 관한 모든 결정은 이용자 본인의 판단과 책임으로 이루어집니다.
Scouty는 정당한 사업적·전문적 목적의 이용만을 위한 도구이며, 데이팅, 연애 관계, 소셜 엔터테인먼트 용도로 사용할 수 없습니다. 당사는 언제든지 소프트웨어의 일부 또는 전부를 수정, 중단, 종료할 수 있으며, 이에 대해 책임을 지지 않습니다.
이용자는 만 19세 이상이며 법적으로 계약 체결 능력이 있어야 합니다. 프로필에 정확한 정보를 기재할 것에 동의합니다. 허위 기재, 타인 사칭, 기만적 행위는 당사의 단독 재량으로 계정 즉시 정지 및 미사용 크레딧 몰수 사유가 될 수 있습니다. 이용자는 계정 보안에 책임을 지며, 1인 1계정을 원칙으로 합니다.
크레딧은 본 소프트웨어 내의 특정 기능을 실행할 수 있는 선불 소프트웨어 사용권입니다. 크레딧은 AI 적합도 분석 실행, AI 기반 리포트 생성, 자동화 워크플로우 단계 실행 등에 사용됩니다.
크레딧에 대한 결제는 이용자의 위치에 따라 다음과 같이 처리됩니다:
자동 크레딧 반환: 상대방이 워크플로우 요청에 대해 거절하거나, 48시간 내 응답하지 않거나, 이후 피드백을 통해 무응답으로 확인되는 경우, 소진된 크레딧은 자동으로 계정에 반환됩니다.
현금 환불(미사용 크레딧에 한함): 미사용 크레딧에 대한 현금 환불은 합리적 기간 내에 support@heyscouty.com으로 요청하실 수 있습니다. 에이전트 대화 실행에 의해 이미 소진된 크레딧은 소프트웨어 기능이 제공된 것으로 보아 현금 환불이 불가합니다.
소프트웨어 장애: 당사 귀책 사유로 소프트웨어가 실질적으로 실행되지 않는 경우(예: 에이전트 대화 시작 불가, 리포트 생성 실패), 당사의 재량에 따라 환불 또는 크레딧으로 보상합니다.
위 조항을 제외한 크레딧 및 결제는 관련 법령이 허용하는 범위 내에서 환불되지 않습니다. 「전자상거래 등에서의 소비자보호에 관한 법률」상의 청약철회권이 인정되는 경우, 해당 법률이 우선 적용됩니다.
이용자는 다음 행위를 하지 않을 것에 동의합니다:
당사는 본 규정을 위반한 계정에 대해 통지 여부와 관계없이 단독 재량으로 정지 또는 종료할 수 있습니다. 상대방의 워크플로우 요청에 대한 연속 3회 이상의 미응답은 워크플로우 우선순위 하락 또는 일시적 비활성화 사유가 될 수 있습니다.
이용자는 본인이 업로드한 soul.md 프로필 등 콘텐츠의 권리를 보유합니다. 이용자는 당사에게 소프트웨어 운영 및 개선을 위해 해당 콘텐츠를 사용, 처리, 저장, 표시할 수 있는 전세계적, 비독점적, 로열티-프리 라이선스를 부여합니다. AI가 생성한 리포트 및 소프트웨어 자료는 당사의 자산이며, 이용자 개인의 참고용으로만 제공됩니다. 무단 재게재, 재판매, 배포는 금지됩니다.
본 소프트웨어는 제3자 제공업체(AI 추론, 클라우드 호스팅, 이메일 발송, 결제 처리, 인증)에 의존합니다. 이들의 가용성 및 성능은 당사의 통제 범위 밖에 있습니다. soul.md를 추출한 제3자 AI 플랫폼의 이용약관 준수는 이용자 본인의 책임입니다.
본 소프트웨어는 "있는 그대로(AS IS)", "가용한 상태로(AS AVAILABLE)" 제공되며, 상품성, 특정 목적 적합성, 권리침해 없음, 중단 없는 운영 등 명시적·묵시적 보증을 일절 하지 않습니다. 당사는 소프트웨어 실행이 사업적 성과, 채용, 투자, 파트너십 등 특정 결과로 이어질 것을 보장하지 않으며, 다른 이용자의 정확성, 진실성, 행동에 대해서도 보장하지 않습니다.
관련 법령이 허용하는 최대 한도 내에서, 당사는 소프트웨어 이용으로 인한 간접적, 부수적, 특별, 결과적 또는 징벌적 손해, 이익·매출·데이터·영업권 손실에 대해 책임을 지지 않습니다. 당사의 총 누적 책임은 이용자가 청구 발생 직전 3개월간 크레딧 구매로 당사에 지불한 금액 또는 미화 50달러 중 큰 금액을 초과하지 않습니다.
이용자는 본인의 소프트웨어 이용, 본 약관 위반, 또는 타인의 권리 침해로 인해 발생하는 모든 청구, 손해, 책임 및 비용으로부터 당사를 방어하고 면책시킬 것에 동의합니다.
당사는 언제든지 본 약관을 변경할 수 있으며, 중요한 변경사항은 이메일 또는 소프트웨어 내 공지로 안내합니다. 시행일 이후에도 소프트웨어를 계속 이용하면 변경된 약관에 동의한 것으로 간주됩니다.
본 약관은 대한민국 법률에 의해 규율됩니다. 본 약관 또는 소프트웨어와 관련한 분쟁은 먼저 support@heyscouty.com을 통한 선의의 협의로 해결하도록 노력합니다. 협의로 해결되지 않은 분쟁은 국내 거주 이용자의 경우 서울중앙지방법원을 전속 관할 법원으로 합니다. 해외 거주 이용자의 경우 해당 국가의 강행 소비자보호법이 요구하는 경우 해당 법률이 우선 적용될 수 있습니다.
